Equity is managed through Carta. Carta is a third-party platform we use to manage and track ownership, equity, and related processes. It is also an external resource to help team members understand and access the value of their shares. Team members can log into Carta at any time to review their equity.

We have several types of equity grants designed to recognize your contributions and growth:
New hire equity grants to ensure team members have a stake in our growth and success from day one. These grants come with a 1-year cliff and 4-year vesting, meaning equity will begin vesting after the first year, with a steady progression over the next few years.
We believe in sharing the upside of what we’re building together. As Tenderly continues to grow, team members will have the opportunity to directly benefit from our shared success, aligning personal goals with the company’s future.
To recognize and reward team member’s long-term commitment to Tenderly, we gave tenure equity grants. These grants are designed to retain team members beyond the initial four-year vesting period, offering 25% of the equity a new hire would receive for your role and level—reflecting the value they bring as the company grows. Eligibility begins in the quarter of their 3rd anniversary of full-time work with Tenderly.
The grants come with the same terms as the original new hire grant, including a four-year vesting period and one-year cliff. To qualify, the team member must be in good standing (not on a warning or performance plan), and grants will be issued quarterly, pending board approval. This program is our way of investing in team members as we continue building Tenderly’s success!
Key Contributors (MVPs) represent the top ~10% of Tenderly team members whose work has a significant and lasting impact on the business. These individuals consistently deliver outstanding results that drive Tenderly’s success forward, aligning with our values and helping achieve critical company milestones. Recognized as experts in their roles, team members at any level can be identified as Key Contributors.
This designation, awarded by the leadership team at the end of each year, reflects the meaningful impact Key Contributors have made on Tenderly’s growth and success. As part of this recognition, Key Contributors receive 50% of the equity a new hire would receive for their role and level, reinforcing their vital contributions to our journey. Strong Performance and Growth Potential are essential for eligibility, alongside a clear record of business impact that sets them apart.
